These Terms and Conditions ("Terms") govern your access to and use of our website and mobile application, including all related services and features (collectively referred to as the "Platform").

1. ACCEPTANCE OF TERMS:

By accessing or using the Platform, you confirm that you are at least 18 years old and legally capable of entering into binding agreements. If you are using the Platform on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

2. SERVICES PROVIDED:

Our Platform facilitates the interaction between freelancers and employers, enabling them to connect and collaborate on various projects. We provide tools and resources to support users, including but not limited to communication channels, payment processing, and dispute resolution mechanisms.

However, we do not in anyway, act as a party in the contracts formed between freelancers and employers. We only provide a venue for these engagements. You acknowledge that any agreement between freelancers and employers is made directly between those parties.

3. ACCOUNT REGISTRATION:

To access and use certain features of the Platform, you are required to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to update this information if it changes. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

If we suspect that your account is being used fraudulently or in violation of these Terms, we reserve the right to suspend or terminate your account.

4. USER CONDUCT:

By using our Platform, you agree to:

1. Comply with all applicable laws and regulations, including but not limited to intellectual property, data protection, and anti-money laundering laws.
2. Not use the Platform for any unlawful or fraudulent activities.
3. Respect the rights and privacy of other users.
4. Provide accurate information and not misrepresent yourself or your qualifications.
5. Not engage in harmful activities such as spreading malware, phishing, or hacking into the Platform or other users' accounts.

We reserve the right to investigate and take appropriate legal action against any user who, in our sole discretion, violates these provisions.

5. PAYMENTS AND FEES:

Payments for services provided by freelancers on the Platform must be made through our designated payment gateway. All fees for services, including any applicable taxes, will be clearly indicated before a transaction is finalized.

1. Employers: You agree to pay freelancers in a timely manner for services rendered.
2. Freelancers: You agree to deliver the services as agreed with employers. Payments may be withheld if services are not delivered according to the agreed terms.

We charge transaction fees or commissions as a percentage of payments made between freelancers and employers. These fees will be disclosed before the transaction.

6. INTELLECTUAL PROPERTY:

All content, software, designs, and other materials made available on the Platform are owned by SKILLWAVE SMART LIMITED or its licensors and are protected by intellectual property laws. You are granted a limited, non- exclusive, and non-transferable license to use the Platform for personal and commercial purposes related to freelancing and employment.

You may not copy, distribute, modify, or reverse-engineer any part of the Platform without our express permission.

7. PRIVACY AND DATA PROTECTION:

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

We are committed to complying with the Nigerian Data Protection Regulation (NDPR) and other applicable data protection laws. Please review our Privacy Policy and Cookie Policy for more details on how your data is handled.

8. ANTI-MONEY LAUNDERING AND KNOW YOUR CUSTOMER COMPLIANCE:

We comply with all relevant laws, including the Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations. You may be required to provide identification and verification documents to access certain features of the Platform

We reserve the right to suspend or terminate your account if we suspect any fraudulent, illegal, or non-compliant activities related to these regulations.

9. LIMITATION OF LIABILITY:

To the fullest extent permitted by law, SKILLWAVE SMART LIMITED will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or other intangible losses, arising from or related to your use of the Platform.

We make no guarantees regarding the accuracy, reliability, or quality of the services provided by freelancers or the projects posted by employers on the Platform. You acknowledge that you use the Platform at your own risk.

10. INDEMNIFICATION:

You agree to indemnify, defend, and hold harmless SKILLWAVE SMART LIMITED, its directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way related to your use of the Platform, violation of these Terms, or any infringement of third-party rights.

11. TERMINATION:

We may suspend or terminate your account at any time, without notice or liability, for any reason, including if you violate these Terms. Upon termination, your right to use the Platform will cease, and any outstanding payments or obligations to freelancers or employers will still be required.

12. CHANGES TO THESE TERMS:

We reserve the right to modify or update these Terms when necessary, at our discretion. We will notify users of significant changes through email or platform notifications. Your continued use of the Platform following any changes constitutes acceptance of the new Terms.

13. GOVERNING LAW:

These Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

14. DISPUTE RESOLUTION:

Any disputes or claims related to your use of the Platform will be resolved through arbitration in accordance with the Arbitration and Conciliation Act, CAP A18, Laws of the Federation of Nigeria.
The seat of arbitration will be as agreed upon by Parties and in Nigeria, and the language of arbitration will be English. Each party will bear its own costs, except as otherwise provided in the arbitration decision.
